General Terms and Conditions of Sale

1. Scope
These General Terms and Conditions of Sale (GTC) apply to all services and deliveries provided by E_lec SA (hereinafter «the Service Provider») to its customers (hereinafter «the Customer»), in particular in the following areas:
- Electrical installations
- Photovoltaic installations
- Maintenance and servicing
- Repairs and emergency call-outs
Placing an order implies unconditional acceptance of these Terms and Conditions.
2. Offers and quotations
Offers and quotations issued by E_lec SA are valid for 30 days, unless otherwise stated.
They are drawn up on the basis of the information provided by the Customer. Any changes (technical, quantities, deadlines) may result in adjustments to prices and deadlines.
3. Conclusion of the contract
The contract is concluded upon the Client’s acceptance of the quotation (by signature, email or written confirmation).
4. Price
Prices are quoted in CHF, excluding VAT unless otherwise stated.
Unless otherwise stated, the following are not included:
- Unforeseen or additional work
- Changes made due to technical constraints identified during the course of the project
- Services requested as a matter of urgency or outside normal working hours
- Any position not specified in the offer
5. Terms of payment
Unless otherwise agreed, invoices are payable within 10 days net.
For major projects, the Contractor reserves the right to request a deposit or an interim invoice.
In the event of late payment:
- 1st reminder: free of charge
- 2nd reminder: CHF 15.– fee + 10-day grace period
- 3rd reminder: an additional CHF 25.– + a 5-day grace period
If payment is not made by this deadline, debt recovery proceedings may be initiated.
The Service Provider reserves the right to suspend its services in the event of non-payment.
6. Lead times
The deadlines are indicative unless a written commitment has been given.
They may be extended in the event of:
- Changing the order
- Delays on the part of the Client (access, decisions, information)
- Unforeseen technical constraints
- Force majeure
No delay shall give rise to penalties unless agreed in writing.
7. The Customer’s obligations
The Customer undertakes to:
- Provide all the necessary information
- Ensuring secure access to the site
- Provide the necessary infrastructure
Any delay or hindrance attributable to the Client may result in additional costs.
8. Carrying out the work
The Contractor shall carry out the work in accordance with best practice and the standards in force in Switzerland (in particular the technical standards for the electrical sector).
9. Acceptance of the works
A reception can be organised.
Unless written objections are raised within 5 days, the work shall be deemed to have been accepted.
10. Warranty
Benefits are guaranteed in accordance with Swiss law.
The warranty does not apply in the following cases:
- Incorrect use
- Third-party intervention
- Normal wear and tear
11. Liability
The Service Provider’s liability is limited to direct, material and proven damage caused to the Client.
Any liability for indirect, consequential or non-material damages is expressly excluded.
To the extent permitted by Swiss law, the Service Provider’s liability is excluded in cases of slight negligence and is limited to cases of gross negligence or wilful breach of its obligations.
12. Force majeure
The Service Provider shall not be held liable in the event of an unforeseeable circumstance beyond its control.
13. Termination
In the event of cancellation by the Customer after acceptance:
- Payment is due for services already provided
- The costs incurred are invoiced
14. Applicable law and jurisdiction
Swiss law shall apply.
The place of jurisdiction is the registered office of E_lec SA.
15. Final provisions
If any provision is invalid, the remaining provisions shall remain in force.
